Welcome to TitleTrackr! These Terms of Service ("Terms") govern your access to and use of our website, application, and services (collectively, the "Services"), provided by TitleTrackr, Inc. ("TitleTrackr," "we," "us," or "our").

TitleTrackr utilizes artificial intelligence to provide its Services. By using our Services, you acknowledge and accept the inherent nature of AI-generated content, including the potential for inaccuracies, errors, or omissions.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.

0. Definitions

• Services: Refers to the TitleTrackr website, application, and all related features, functionalities, and content provided by TitleTrackr, Inc.
• User Content: Refers to any documents, data, text, or other materials that you upload, submit, or otherwise provide to the Services.
• AI Output: Refers to any data, summaries, abstracts, analyses, or other content generated by the Services based on User Content or prompts.

1. Use of Services

You may use the Services only in compliance with these Terms and all applicable laws. You must be at least 18 years old to use TitleTrackr.

You are responsible for all activities that occur under your account and agree to maintain the security of your login credentials.

2. Document Handling and Storage

By default, TitleTrackr does not store any documents or extracted data you upload. All processing is performed temporarily during your active session.

If you opt into document storage, you grant us permission to securely store your uploaded files and extracted data solely for the purposes of:

• Saving abstract history
• Reusing templates or export formats
• Providing enhanced features (e.g., edit, re-export, audit logs)

You may revoke this storage access at any time by adjusting your settings or contacting support. We will delete all stored content upon request.

We do not use your content for analytics, training, or third-party sharing.

3. Your Content and Ownership

You retain all rights to documents and data you upload. We make no claim of ownership over your User Content. You grant us a limited, non-exclusive, royalty-free license to process, format, and display your User Content solely to provide and operate our Services.

You retain ownership of the AI Output generated based on your User Content.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes.
• Reverse-engineer, decompile, disassemble, or tamper with our software or the Services.
• Upload content you do not have the legal right to use, transmit, or process.
• Use the Services to generate, disseminate, or promote content that is illegal, harmful, defamatory, discriminatory, or infringes upon the rights of others.
• Attempt to bypass any safety features or content filters implemented by TitleTrackr.
• Use the Services to create or distribute misleading, deceptive, or fraudulent information, particularly if presented as factual without independent verification.
• Use the Services for any high-risk activities where the failure of the Services could lead to death, personal injury, or severe environmental or property damage.

5. Fees and Billing

If using a paid plan, you agree to provide accurate billing information and authorize us to charge your payment method on a recurring basis until canceled. Trial periods are limited and may be subject to change.

6. Refund Policy

At TitleTrackr, we are committed to providing valuable AI solutions and exceptional service. Please review our refund policy below:

• Monthly Subscriptions: All fees for monthly subscriptions are non-refundable. You may cancel your monthly subscription at any time, and your access to the service will continue until the end of your current billing cycle. No pro-rata refunds will be issued for partial months.
• Annual Subscriptions: All fees for annual subscriptions are non-refundable. You may cancel your annual subscription at any time; however, no refunds (full or partial) will be provided for the current annual term. Your access to the service will continue until the end of your paid annual subscription period.

Cancellation Process:
To cancel your subscription, please visit your account settings page or contact our support team at support@titletrackr.com. Your cancellation will take effect at the end of your current billing period, and you will not be charged for subsequent periods.

7. Termination

You may stop using our Services at any time. We reserve the right to suspend or terminate your access if you violate these Terms or misuse the platform.

Upon termination, your stored content (if opted in) will be deleted unless you request a transfer or export prior to closure.

8. Modifications to the Service

We may update, enhance, or discontinue parts of the Services at any time with notice. Your continued use after changes means you accept the updated Terms.

9. Disclaimers and AI Output Accuracy

THE SERVICES, INCLUDING ALL AI OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TITLETRACKR, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

YOU ACKNOWLEDGE AND AGREE THAT AI OUTPUT MAY CONTAIN INACCURACIES, ERRORS, OMISSIONS, OR BE INCOMPLETE, AND MAY NOT REFLECT THE MOST CURRENT OR ACCURATE INFORMATION. TITLETRACKR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ANY AI OUTPUT PROVIDED BY THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL, LEGAL, FINANCIAL, OR OTHER ADVICE. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING THE ACCURACY, COMPLETENESS, AND APPLICABILITY OF ANY AI OUTPUT BEFORE RELYING ON OR USING IT FOR ANY PURPOSE. TITLETRACKR IS NOT RESPONSIBLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON THE AI OUTPUT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TITLETRACKR, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF TITLETRACKR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:

• (A) THE USE OR INABILITY TO USE THE SERVICES;
• (B) THE ACCURACY, INACCURACY, OR RELIANCE ON ANY AI OUTPUT;
• (C) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES;
• (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• (E) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; OR
• (F) ANY OTHER MATTER RELATING TO THE SERVICES.

IN NO EVENT SHALL TITLETRACKR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU TO TITLETRACKR FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100.00), WHICHEVER IS GREATER.

10A. Indemnification

You agree to indemnify, defend, and hold harmless TitleTrackr, INC., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services, including any reliance on AI Output; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of any third party, including intellectual property rights; or (e) any negligent or willful misconduct by you. TitleTrackr reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with TitleTrackr's defense of such claim.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

12. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy at https://titletrackr.com/privacy to understand our practices regarding the collection, use, and disclosure of your personal information.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware, before a single arbitrator. The decision of the arbitrator shall be final and binding upon the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. Feedback

You may choose to submit comments, information, questions, or other feedback relating to the Services ("Feedback"). By submitting any Feedback, you agree that such Feedback is gratuitous, unsolicited, and without restriction, and will not place TitleTrackr under any fiduciary or other obligation. TitleTrackr is free to use the Feedback without any additional compensation to you, and to disclose the Feedback on a non-confidential basis or otherwise to anyone.

15. Force Majeure

TitleTrackr shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms, together with any documents expressly incorporated by reference herein, constitute the entire agreement between you and TitleTrackr regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
